Current status

InPlay Global is in a pre-qualification phase. No securities marketplace is currently operational, and no Performance Securities are currently available for purchase or trading.

Intended offering framework

InPlay Global intends to offer Performance Securities under Regulation A Tier 2 of the U.S. Securities Act of 1933, subject to qualification by the U.S. Securities and Exchange Commission. Once qualified, offerings may be available to a broad set of investors, including non-accredited investors, with full disclosure as required by Reg A.

Intended market structure

Performance Securities are intended to trade on a FINRA-supervised alternative trading system (ATS). Execution, surveillance, and reporting are intended to follow the same standards applicable to other regulated U.S. equity venues.

Jurisdictional limits

Offerings, when qualified, may not be available in every U.S. state or in jurisdictions outside the United States. Specific eligibility, accreditation, and KYC requirements will be set out in the offering documents at qualification.

What is not provided

InPlay Global does not operate a sportsbook, a prediction market, or a one-off event-based contract market. InPlay Global is not regulated as a sportsbook, bookmaker, gaming operator, or wagering platform.
